EY Global Commercial Terms Handbook

We are pleased to present the second edition of the

EY Global Commercial Terms Handbook.

 

This handbook has been created by the EY Law teams in 27 jurisdictions (incl. EY Law Belgium) and gives a comparative high-level overview of some of the key commercial clauses and general terms and conditions that govern business contracts.

By offering in house counsels and legal teams summarized information on the main commercial clauses when working across various jurisdiction and expanding their business abroad, the purpose of this guide is to assist them to understand and to ensure the interests of their company in the framework of national and cross-border contractual negotiations and business relationships.

This handbook has been divided into the following sections: (i) formation, (ii) content, (iii) duration and termination, (iv) performance and non-performance, (v) dispute resolution, (vi) recent legislation and trends, including temporary measures adopted in relation to the COVID-19 pandemic.

Moreover, the handbook gives an overview of the recent legislation and legal prohibitions in the context of B2B relationships, i.e. abuse of economic dependence, unfair terms and unfair market practices between companies.
